Acceptance of terms

These Terms & Conditions (“Terms”) are a legal agreement between you and Dywan (“Dywan,” “we,” “us,” or “our”) governing your use of the Dywan marketing site and waitlist at dywan.ai (the “Site”). By accessing or using the Site, or by submitting a waitlist application, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Site or submit any information through it.

About the service & beta status

Dywan is an AI deliberation product currently in active development and private beta. The Site is provided as a marketing and waitlist registration portal for that product. The Site and any information or functionality made available through it are provided “as is” and “as available,” without warranties of any kind, express or implied.

Because Dywan is in active development, the features, content, and availability of the Site and the Dywan product may change at any time without prior notice. We make no guarantee of uninterrupted access, uptime, or the continued availability of any particular feature or content.

Eligibility

You must be at least 16 years of age to use the Site or submit a waitlist application. By using the Site, you represent and warrant that you meet this age requirement and that all information you provide is accurate, current, and complete. If you are using the Site on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

The waitlist

Submitting a waitlist application registers your interest in Dywan but does not guarantee access to the product, a place in the private beta, or any particular timeline for receiving an invitation. We reserve the right to determine, in our sole discretion, who receives early access and when.

By submitting the form, you consent to being contacted by Dywan at the email address and phone number you provide for the purpose of beta access and product updates. You may opt out of these communications at any time by following the unsubscribe instructions in any message we send, or by emailing hello@dywan.ai.

Acceptable use

You agree to use the Site only for lawful purposes and in a manner consistent with these Terms. Without limiting the foregoing, you agree not to:

• Use the Site in any way that violates applicable local, national, or international law or regulation.
• Submit false, misleading, or fraudulent information through the waitlist form, or submit another person's information without their explicit consent.
• Scrape, crawl, or use automated means to access or harvest data from the Site in a manner that imposes an unreasonable burden on our infrastructure.
• Attempt to probe, scan, or test the vulnerability of the Site or circumvent any security measures.
• Interfere with or disrupt the integrity or performance of the Site, its servers, or networks connected to it.
• Reproduce, duplicate, copy, sell, or exploit any portion of the Site without our express written permission.

We reserve the right to suspend or block access to the Site for any user who violates these Terms or who we reasonably believe is misusing the Site.

Intellectual property

The Dywan name, wordmark, logos, and all content appearing on the Site — including text, graphics, layout, and code — are owned by or licensed to Dywan and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right, licence, or interest in Dywan's intellectual property other than the limited right to view the Site for informational purposes.

You are welcome to link to the Site or share its public pages. You may not, however, reproduce, modify, create derivative works from, or distribute any content from the Site without our prior written consent.

Third-party links & services

The Site may contain links to third-party websites or services, including the Dywan application at app.dywan.ai. Those third-party sites and services are governed by their own terms and privacy policies, not by these Terms. We are not responsible for the content, accuracy, availability, or practices of any third-party site or service, and linking to them does not imply our endorsement. We encourage you to review the terms and privacy policies of any third-party service you access.

Disclaimers

THE SITE AND ALL INFORMATION, CONTENT, AND FUNCTIONALITY PROVIDED THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DYWAN EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Dywan does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components, or that defects will be corrected. Any information on the Site is provided for general informational purposes only and should not be relied upon as professional, legal, financial, or technical advice.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DYWAN AND ITS OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF DYWAN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WHERE LIABILITY CANNOT BE EXCLUDED BY LAW, DYWAN'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF FIFTY US DOLLARS (US $50) OR THE AMOUNT YOU PAID TO DYWAN IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless Dywan and its officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your infringement of any third-party right.

Changes to these terms

We may update these Terms from time to time. When we make changes, we will update the “Last updated” date at the top of this page. We encourage you to review these Terms periodically. Your continued use of the Site after any change takes effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, please stop using the Site.

Governing law

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the jurisdiction in which Dywan operates, without regard to conflict-of-law principles. Any disputes that cannot be resolved amicably between the parties shall be submitted to the competent courts of that jurisdiction.
